Terms & Conditions

1. Acceptance of these Terms

These Terms and Conditions ("Terms") form a legally binding agreement between you and Scorepad ("we", "us", "our") covering your use of the ScorePad mobile application, the website at scorepad.me, and all related products, features, and services we provide (collectively, the "Services").

By creating an account, downloading the app, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Eligibility

You must be at least 13 years old (or 16 if you reside in the European Economic Area or United Kingdom) to use the Services. If you are under the legal age of majority where you live, you may only use the Services with the involvement of a parent or legal guardian who agrees to these Terms on your behalf.

You must not use the Services if you are barred from doing so under applicable law, or if your account has previously been suspended or terminated by us.

3. Your account

To access most features you must create an account. You agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.

You must not share your account, sell or transfer it, create multiple accounts to evade restrictions, or impersonate another person. Notify us immediately through the in-app Support screen if you suspect unauthorised access. We may suspend or close accounts that violate these Terms, that are inactive for extended periods, or that we reasonably believe create risk for the Services or other users.

4. The Services

ScorePad provides tools to score, schedule, share, and analyse sports matches; manage teams, squads, and tournaments; track related health and activity data on an optional basis; and engage with friends and other users through social features.

The Services are provided for personal, non-commercial use. We may add, change, remove, or limit features at any time, with or without notice, and we do not guarantee that the Services will be uninterrupted, error-free, secure, or available in your region.

5. Licence to use the app

Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download and use the ScorePad app on a device that you own or control, solely for personal, non-commercial use.

You must not, and must not allow any third party to: (a) copy, modify, translate, adapt, or create derivative works of the Services; (b) reverse-engineer, decompile, disassemble, or attempt to derive the source code, except to the extent this restriction is prohibited by applicable law; (c) remove or alter any copyright, trademark, or other proprietary notice; (d) rent, lease, lend, sell, sublicense, or otherwise transfer the Services; (e) use the Services to build a competing product or to scrape or harvest data; (f) circumvent any security, rate-limiting, or access-control mechanism; or (g) use the Services for any unlawful purpose or in violation of any applicable law, regulation, or third-party right.

6. App stores

The ScorePad app is made available through the Apple App Store and Google Play. Your use of the app is also subject to the terms of the relevant store.

Apple App Store. You acknowledge that these Terms are between you and Scorepad only, not with Apple Inc., and that Scorepad (not Apple) is solely responsible for the app and its content. Apple has no obligation to provide any maintenance or support for the app. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you where applicable; to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app. Apple is not responsible for addressing any claims by you or any third party relating to the app, including product-liability claims, claims that the app fails to conform to any legal or regulatory requirement, and claims arising under consumer-protection or similar legislation. Apple is not responsible for the investigation, defence, settlement, or discharge of any third-party intellectual-property claim. You represent that you are not located in a country subject to a U.S. Government embargo and are not listed on any U.S. Government list of prohibited or restricted parties, and that you will not use the app for any prohibited or restricted purpose. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you.

Google Play. Your use is additionally subject to the Google Play Terms of Service.

7. Subscriptions, add-ons and payments

ScorePad offers paid subscription plans (such as ScorePad Pro and ScorePad Ultra) and optional add-ons (such as the Tournaments add-on). Pricing for each plan is shown in the app at the time of purchase.

Auto-renewal. Subscriptions are auto-renewable. Payment is charged to your Apple ID or Google Play account at confirmation of purchase. Your subscription automatically renews at the displayed price unless cancelled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

Cancellation. You can cancel a subscription or add-on at any time through your App Store or Google Play account settings. The cancellation takes effect at the end of the current billing period; you keep access until then. Deleting the app does not cancel a subscription. Cancelling a plan does not automatically cancel an add-on, and vice versa.

Free trials and promotional offers. Where a free trial is offered, you will be charged the standard subscription price at the end of the trial unless you cancel before it ends. Each user may be eligible for a free trial only once per plan. Unused portions of a free trial are forfeited when you purchase a subscription.

Price changes. We may change subscription prices from time to time. Material price increases will be communicated in advance through the Services or by email, and will only take effect at your next renewal. You may cancel before the change takes effect if you do not agree.

Refunds. All purchases are processed by Apple or Google, and refund requests must be submitted directly to them in accordance with their policies. Except where required by applicable law, subscription fees are non-refundable, and partial periods are not pro-rated.

Promotional codes. Promotional codes are limited, non-transferable, have no cash value, and may not be combined with other offers.

8. User content

You retain ownership of the content you create, upload, or submit through the Services, including match data, photos, usernames, comments, team and squad information, and any other materials you provide ("User Content").

Licence to us. By submitting User Content, you grant Scorepad a worldwide, royalty-free, non-exclusive, sublicensable, transferable licence to host, store, reproduce, modify (for technical purposes), publicly display, and distribute that User Content as needed to operate, improve, and promote the Services — for example, to show match results to participants, surface leaderboards, deliver notifications, or improve our features (including AI features, on de-identified data where possible). This licence ends when you delete the relevant User Content or your account, except (a) where the content has been shared with others who have not deleted it, and (b) for backups, logs, and aggregated or anonymised data we retain in accordance with our Privacy Policy.

Your responsibility. You represent and warrant that you have all rights necessary to submit your User Content and that it does not infringe or violate any law or third-party right. We do not endorse, verify, or pre-screen User Content, and we are not responsible for it.

Removal. We may remove, refuse, or restrict access to any User Content at any time, with or without notice, if we believe it violates these Terms or applicable law, or if it creates risk for the Services or other users.

9. AI features and generated content

Some features of the Services use artificial intelligence — including (without limitation) automated match summaries, photo tagging, and AI-generated performance summaries ("AI Features"). When you use an AI Feature you may provide inputs such as text, prompts, or photos, and you receive AI-generated outputs.

You may use AI-generated outputs for your personal, non-commercial use within the Services, subject to these Terms. We do not claim ownership of outputs generated for you; however, due to the nature of generative AI, outputs may be similar or identical to outputs generated for other users, and we make no representation that any output is unique, accurate, suitable, or non-infringing.

You must not submit as input any content that infringes third-party rights, depicts illegal or harmful material, or contains personal information about other people without their consent. AI Features may have usage limits and are subject to availability.

10. Health, fitness and sports — important disclaimer

Not medical advice. ScorePad is not a medical device. Any health, fitness, heart-rate, calorie, recovery, or activity data displayed or recorded by the Services is for informational and personal-tracking purposes only and is not intended to diagnose, treat, cure, or prevent any disease or medical condition. The Services are not a substitute for professional medical advice, diagnosis, or treatment.

Consult a professional. You should consult a qualified healthcare professional before starting any new exercise programme, sport, or use of data the Services provide — particularly if you are pregnant, have a medical condition, are taking medication, or have any concern about your fitness to participate.

Sports activities. Sports involve inherent risks of injury, including serious injury. You participate at your own risk. You are solely responsible for your own safety, the suitability of the activity, the condition of any equipment you use, and the venue at which you play. You assume all risks of participating in any match, training session, tournament, or other activity you record or coordinate using the Services.

Third-party sensors. Health and activity data may come from third-party devices and services (such as Apple Health, Health Connect, or Garmin). We do not control the accuracy of that data, and we are not responsible for any decisions you make based on it.

Emergencies. The Services do not provide emergency services and must not be relied upon in any situation where injury, illness, or other emergency is reasonably foreseeable.

11. Community rules and acceptable use

You must not use the Services to:

• harass, threaten, bully, stalk, defame, or intimidate any person;

• post or share content that is unlawful, hateful, sexually explicit, violent, fraudulent, defamatory, or that promotes discrimination based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic;

• impersonate any person or entity, or misrepresent your affiliation;

• create fake accounts, sell or buy accounts, or use bots, scripts, or other automated means to access or interact with the Services;

• collect, harvest, or otherwise misuse other users' data or contact information;

• upload viruses, malware, or anything else designed to disrupt or damage the Services;

• attempt to gain unauthorised access to any part of the Services, other users' accounts, or our systems;

• upload content involving minors in sexual, exploitative, or otherwise inappropriate contexts;

• manipulate scores, leaderboards, achievements, or other competitive features through cheating, false reporting, or coordinated abuse;

• use the Services in connection with gambling, betting, or unauthorised commercial activity; or

• otherwise violate any law or third-party right.

Reporting. If you encounter content or behaviour that violates these rules, use the in-app Support screen to report it. We investigate reports but cannot guarantee a specific outcome.

12. Third-party services and integrations

The Services may integrate with or link to third-party services, including (without limitation) the Apple App Store, Google Play, RevenueCat, Supabase, Sentry, Apple Health, Health Connect, Garmin, OneSignal, social sign-in providers, and analytics tools. Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for them.

Where you choose to connect a third-party service to your account (for example, a wearable or social login), you authorise us to send and receive information through that connection as needed to operate the relevant feature. You can disconnect such services at any time from the relevant settings screen.

13. Our intellectual property

The Services, including the ScorePad name, logo, designs, software, text, graphics, and all related intellectual property (other than User Content), are owned by Scorepad or its licensors and are protected by copyright, trademark, and other laws. Except for the limited licence granted in section 5, no rights are granted to you in or to the Services or any of our intellectual property.

Feedback. If you send us suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use that feedback for any purpose, without any obligation to you.

14. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of information as described there.

15. Suspension and termination

By you. You may stop using the Services at any time. You can delete your account through the in-app Profile screen, or by contacting us through Support. Deleting your account does not automatically cancel any active App Store or Google Play subscription — you must cancel those separately through your store account.

By us. We may suspend, restrict, or terminate your access to all or part of the Services, with or without notice, if (a) you breach these Terms; (b) we are required to do so by law or by a third-party platform; (c) we reasonably believe your conduct creates risk for us, our users, or the Services; or (d) we discontinue the Services in your region.

Effect. On termination, your right to use the Services ends, and we may delete your account and User Content in accordance with our Privacy Policy. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law — will survive.

16. Disclaimer of warranties

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available", with all faults and without warranty of any kind, express, implied, or statutory. Scorepad and its suppliers and licensors disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, secure, accurate, complete, reliable, or free of errors, viruses, or other harmful components; that any defect will be corrected; or that the Services will meet your requirements or expectations. You use the Services at your own discretion and risk.

17. Limitation of liability

To the fullest extent permitted by applicable law, in no event will Scorepad, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, goodwill, business opportunity, use, or any other intangible loss — arising out of or in connection with these Terms or your use of, or inability to use, the Services, whether based on contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

In no event will our aggregate liability for any claim arising out of or relating to these Terms or the Services exceed the greater of (a) the total amount you paid to us for the Services in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. In those jurisdictions our liability is limited to the maximum extent permitted by law.

18. Indemnification

You agree to defend, indemnify, and hold harmless Scorepad and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use or misuse of the Services; (b) your User Content; (c) your breach of these Terms or any law or third-party right; or (d) your participation in any sports or fitness activity recorded or coordinated through the Services. We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, at your expense.

19. Dispute resolution

Before filing any formal claim, you agree to first contact us through the in-app Support screen and to try to resolve the dispute informally. We will do the same. Most concerns can be resolved this way.

If a dispute cannot be resolved informally within 30 days, it will be resolved as described in section 20 (Governing law and jurisdiction). To the maximum extent permitted by applicable law, you agree that any dispute will be brought solely in your individual capacity, and not as a plaintiff or class member in any purported class or representative action.

20. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of Lebanon, without regard to its conflict-of-laws principles. Subject to applicable consumer-protection laws that may grant you additional rights, you and Scorepad agree to submit to the exclusive jurisdiction of the competent courts of Beirut, Lebanon, for any dispute arising out of or relating to these Terms or the Services.

If you are a consumer resident in the European Union, United Kingdom, or another jurisdiction whose laws grant you the protection of mandatory provisions, nothing in this section deprives you of those protections.

21. General

Entire agreement. These Terms, together with our Privacy Policy and any additional terms presented in the Services for specific features, are the entire agreement between you and Scorepad and supersede any prior agreements relating to the same subject matter.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.

Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labour disputes, internet or telecommunications failures, or third-party service outages.

No agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us.

Notices. We may send notices to you through the Services or to the email address associated with your account. You can contact us as described in section 23.

Language. These Terms are provided in English. Any translation is for convenience only; the English version controls in case of conflict.

22. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" above and, where the changes are material, we will give you reasonable notice through the Services or by email before they take effect. Your continued use of the Services after the effective date means you accept the updated Terms. If you do not agree, stop using the Services and cancel any active subscriptions.
